Terms of Service

These terms govern your access to and use of Zerberus.ai and our products, VANGUARD, Trace-AI, and Compl-AI.

Welcome to Zerberus.ai. These Terms of Service ("Terms") govern your access to and use of our website, applications, and services, including VANGUARD, Trace-AI, and Compl-AI (together, the "Services"), operated by Zerberus.ai ("Zerberus", "we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Who May Use the Services

You must be at least 18 years old and have the authority to enter into a binding agreement, whether on your own behalf or on behalf of an organisation, to use the Services. By using the Services, you represent that you meet these requirements.

2. Accounts

Certain features require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorised use.

3. Subscriptions and Payment

Paid plans are billed on the cycle and at the price presented at the time of purchase or as agreed in a separate order form. Fees are non-refundable except where required by law or expressly stated otherwise. We may change our pricing on a going-forward basis with reasonable notice.

4. Changes to the Services

We are continually improving the Services. We may add, modify, or discontinue features of the Services at any time. Where a change materially reduces the functionality of a paid plan, we will provide reasonable notice.

5. Acceptable Use

You agree not to: (a) use the Services to violate any applicable law or regulation; (b) attempt to gain unauthorised access to any part of the Services or related systems; (c) interfere with or disrupt the integrity or performance of the Services; (d) reverse engineer or attempt to extract the source code of the Services except as permitted by law; or (e) use the Services to build a competing product.

6. Intellectual Property

The Services, including all software, text, graphics, logos, and other content (excluding your own data), are owned by Zerberus or our licensors and are protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding except as necessary to use the Services as intended.

7. Customer Data

You retain all rights to the data you submit to the Services ("Customer Data"). You grant us a licence to host, process, and transmit Customer Data solely to provide and improve the Services. Our handling of personal data is further described in our Privacy Policy.

8. Warranties and Disclaimers

We will provide the Services with reasonable skill and care. Except as expressly stated, the Services are provided "as is" without warranties of any kind, whether express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by applicable law.

9. Limitation of Liability

To the fullest extent permitted by law, Zerberus will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Services. Our total liability arising out of these Terms will not exceed the amount you paid us in the twelve months preceding the claim.

10. Suspension and Termination

We may suspend or terminate your access to the Services if you breach these Terms, if required by law, or to protect the security or integrity of the Services. You may stop using the Services and, where applicable, cancel your subscription at any time in accordance with your order form.

11. Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory local law provides otherwise.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date above. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
